Important Notice: Medical Services

Waypoint Medical, LLC is a licensed telemedicine medical practice. Use of this Website does not establish a provider-patient relationship. A provider-patient relationship is only established upon completion of a formal intake process, review and acceptance by a Waypoint Medical clinician, and execution of a patient services agreement. All medical services provided by Waypoint Medical are subject to a separate patient agreement, which governs in the event of any conflict with these Terms and Conditions.

 

Medical services provided by Waypoint Medical are available to patients in Missouri (including prescribing services) and may be available in other states for non-prescribing clinical support, subject to applicable state law. It is your responsibility to confirm eligibility for services in your state at the time of intake.

 

Website Use and Consent

The words, design, layout, graphics, photos, images, information, materials, documents, data, databases, and all other information and intellectual property accessible on or through this Website ("Content") are our property and are protected by United States intellectual property laws.

 

If you have entered into a separate patient services agreement or other agreement with us, you will also be subject to the terms of that agreement, which shall prevail in the event of a conflict with these Terms and Conditions.

 

By accessing or using this Website and its Content, you represent and warrant that you are at least 18 years old and that you agree to abide by these Terms and Conditions. Any access to or use of this Website by anyone under age 18 is unauthorized and in violation of these Terms and Conditions.

This limitation does not apply to claims arising from the provision of medical services to established patients under a separate patient services agreement, which are governed by that agreement and applicable law.

 

Release of Claims. In consideration of access to our Website and its general content, you release Waypoint Medical, LLC from any and all claims related to your use of the Website, including without limitation claims related to the accuracy or completeness of Website content. This release does not apply to claims arising from medical services provided under a separate patient services agreement.

You agree that you will not use our Website or its Content in any way that causes or is likely to cause the Website or access to it to be interrupted, damaged, or impaired. You agree to use the Website for lawful purposes only. You must not use the Website:

Payment, Refund, and Cancellation Policy

All service fees are set forth in your patient services agreement or at the time of enrollment. Membership fees are billed on a recurring basis as described at enrollment. You authorize Waypoint Medical to charge your payment method on the schedule agreed to at enrollment.

 

Cancellation. You may cancel your membership at any time by providing written notice to [email protected]. Cancellations are effective at the end of the current billing period. No partial-month refunds are issued for membership fees already billed.

 

Refunds. Program fees paid in advance (such as for the Metabolic Reset program) are non-refundable once the program has been initiated. If a payment plan is selected, you agree to complete all scheduled payments regardless of participation status.

 

Payment Default. Failure to complete payment obligations may result in suspension of services, referral to a collections agency, and/or legal action to recover amounts owed.

 

All prices are subject to change. Price changes will be communicated in advance and will not apply to current membership periods already paid.

 

Force Majeure

No party shall be liable for any failure or delay in fulfilling obligations under these Terms and Conditions when such failure or delay is caused by events beyond that party's reasonable control, including but not limited to acts of God, flood, fire, earthquake, pandemic, war, government order or action, national or regional emergency, strikes, or other similar events.

 

Termination

We reserve the right in our sole discretion to refuse or terminate your access to the Website, in full or in part, at any time without notice. In the event of termination, you are no longer authorized to access the affected portions of the Website. The restrictions imposed on you in these Terms and Conditions will continue to apply after termination.

 

Notices

To You. We may provide notice to you by sending a message to the email address you provide or by posting to the Website. Notices sent by email are effective when sent. It is your responsibility to keep your email address current.

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, void, or unenforceable, that provision will be deemed severed and will not affect the validity or enforceability of the remaining provisions.

 

Entire Agreement

These Terms and Conditions and our Privacy Policy constitute the final and integrated agreement between you and us with respect to your use of the Website and its general content. They do not supersede or modify any separate patient services agreement or other agreement you have entered into with Waypoint Medical for the provision of medical services.

 

Choice of Law and Venue

These Terms and Conditions and any issues related to this Website are governed by applicable federal law and the laws of the State of Missouri, without regard to choice of law principles. By using this Website, you consent to the sole and exclusive jurisdiction of the federal or state courts located in St. Charles County or St. Louis County, State of Missouri. In the event that we must enforce any of these Terms and Conditions, we are entitled to recover our fees and costs, including reasonable attorney's fees.
